When you submit credit card information, you give SimpleCitizen express permission to charge all user fees, subscription charges, and any other charges and fees incurred for using the Services ("Fees") to the designated credit card. SimpleCitizen reserves the right to terminate these Terms and your access to and use of the Services if you do not provide a valid credit card for the payment of Fees, or if any Fees are not timely paid. All Fees may be billed in advance upon commencement of your use of the Service, and are non-refundable. There will be no refunds or credits for partial use of the Service. Any add-on features or Services not provided in your service plan will be billed in accordance with specific terms provided at the time the add-on features or Service is requested by you. SimpleCitizen, Inc. is not a party to this Agreement. When you opt in for the ‘Attorney Review’ services via this Agreement, you agree SimpleCitizen, Inc. is not liable for service performed pursuant to this Agreement. A limited scope representation means that the amount of work the attorney performs for you is limited to certain tasks. Limited scope representation is a means to provide access to legal services while making legal help affordable. The remainder of tasks required outside the scope of this Agreement, if any, will be your sole responsibility. You may choose to hire your attorney or another attorney to perform the additional tasks for additional fees. You may view a copy of the Limited Scope Agreement here. You will also be provided a copy of this agreement upon request at any time after purchasing the "Attorney Review".
Each Lawyer is solely responsible for all Legal Services provided to you. Your use of the Services does not create nor constitute an attorney-client relationship between you and SimpleCitizen, any SimpleCitizen employee, or any Lawyer. Your use of the Services is intended for general informational purposes only and is not a substitute for consultation with a Lawyer licensed to practice in your jurisdiction about your specific legal issues, and you should not rely upon such information.
All other fee arrangements must be negotiated directly between you and a Lawyer. Lawyers may require that you execute an attorney engagement agreement or a paid retainer prior to the delivery of any Legal Services.
Lawyers may provide certain information for inclusion in their profiles on the SimpleCitizen website. Such profiles are advertisements and you should always conduct your own investigation of a Lawyer. SimpleCitizen does not verify or warrant the accuracy of information included on the profiles of Lawyers. SimpleCitizen disclaims any responsibility for the information on the profiles of Lawyers, as well as any information on websites linked from such profiles. SimpleCitizen expressly disclaims any representation or warranty of any kind with regard to the quality or outcome of the Legal Services to be performed by any Lawyer. There is no guarantee that by using the Services, or any Legal Services provided by any Lawyer, that you matter will have a successful outcome. Your rights automatically and immediately terminate without notice from SimpleCitizen or any Third Party if you fail to comply with any provision of these Terms. In such event, you must immediately delete the Applications.
To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless SimpleCitizen, its partners, affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from your use of the Services, including your downloading, installation, or use of the Services, or your violation of these Terms or documents it incorporates by reference.
SimpleCitizen does not promise that the Services will be error-free, uninterrupted, nor that the Services will provide specific results from your use of any content, search or link on them. The Services and all content contained within them are delivered on an "AS IS" and "AS AVAILABLE" basis without warranty of any kind. SimpleCitizen does not warrant or represent that files you download from the Services will be free of viruses or other harmful features. These Terms shall be treated as though executed and performed in the State of Utah, and shall be governed by and construed in accordance with the laws of the State of Utah, USA, without regard to its conflicts of law provisions. Neither the United Nations Convention on Contracts for the International Sale of Goods nor any enactment of the Uniform Computer Information Transactions Act shall apply to these Terms. Any dispute relating in any way to your use of the Services permissible under these Terms shall be submitted to confidential arbitration in Utah, except that to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the State of Utah. Unless otherwise agreed to in a separate written agreement between you and SimpleCitizen that was signed by an authorized representative of SimpleCitizen, by distributing, disseminating or uploading content through the Services ("User Content"), you hereby grant to SimpleCitizen a worldwide, non-exclusive, transferable, assignable, fully paid-up, royalty-free, license (with the right to grant and authorize sublicenses) to host, transfer, display, perform, reproduce, distribute, compress or convert for distribution, and otherwise use your User Content, in any media formats and through any media channels, solely in order to publish and promote such User Content in connection with services offered or to be offered by SimpleCitizen. Such license will apply to any form, media, or technology now known or hereafter developed.
You understand that any User Content may be provided to and accessed by Lawyers. By distributing or disseminating User Content through the Services, you hereby grant to each Lawyer that is authorized to access your User Content a non-exclusive license to access and use your User Content under the terms indicated by you when you uploaded such User Content.
Upon choosing the Direct Submission service as offered by SimpleCitizen, the company will use the U.S. government operated USCIS Electronic Immigration System website, "ELIS", to create an account and submit the selected USCIS forms directly using the ELIS portal. As part of the Direct Submission service, you are expressly authorizing SimpleCitizen to setup, create and manage an account on ELIS in order to submit the USCIS application completed using the SimpleCitizen service. In order to create an account on ELIS, you expressly authorize SimpleCitizen to use unique credentials including but not limited to security question answers, email addresses, and passwords. The submission and application process will be managed by SimpleCitizen to complete updates and communication between you and the USCIS through ELIS. Any application data and information submitted by you to SimpleCitizen will be passed on the USCIS and U.S. government through the ELIS portal.
In order to use the Direct Submission service through SimpleCitizen your consent is required for SimpleCitizen’s use of your payment credentials (credit card numbers, etc.) for satisfying any and all accompanying USCIS fee(s) associated with the submission of your form(s), use and access of the Department of Homeland Security computer system and the USCIS Privacy Act Statement when creating an account on the ELIS system. If you wish to terminate SimpleCitizen’s management of your application on ELIS and have management of your application transferred to you, contact SimpleCitizen directly at [email protected]. A transfer of the management of an account on ELIS will compromise SimpleCitizen’s ability to provide communication and updates regarding the submission of an application.
Upon requesting the Direct Submission service, SimpleCitizen will electronically submit your forms with accompanying data and information directly to the USCIS using the ELIS system. You maintain the responsibility of any and all review of the form(s) submitted though SimpleCitizen to be free of error before any request for Direct Submission is made. SimpleCitizen does not guarantee any acceptance of any form(s) by the USCIS. If your application is rejected by the USCIS for incomplete information or data, or there are technical complications on the part of the ELIS system then you are responsible for the direct manual filing of your application to the USCIS. Through requesting the Direct Submission service, you expressly authorize SimpleCitizen to send all data and information in connection with your application to the USCIS and any other U.S. government agency and retrieve any receipts or documentation related to USCIS submissions on your behalf.
These Terms are the final, complete, and exclusive agreement of the parties hereto with respect to the subject matter hereof, and supersedes and merges all prior discussions between the parties with respect thereof. These Terms shall be governed in all respects by the laws of the State of Utah, USA without giving effect to its conflict of laws provisions, or any other provisions that would result in the application of a different body of law. Both parties submit to personal jurisdiction by and venue in the state and federal courts in the State of Utah, or county in which SimpleCitizen Corporate Offices are located, and further agree that any cause of action arising under these Terms shall be brought in such venue. Notwithstanding the foregoing, SimpleCitizen may, at any time, seek injunctive or other equitable relief, wherever it deems appropriate, to protect or enforce its rights under these Terms. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. SimpleCitizen’s failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches. These Terms and our Privacy Policy set forth the entire understanding and agreement between us with respect to the subject matter hereof, and supersedes any prior or contemporaneous understanding whether in written or oral form. The rights granted in these Terms may not be assigned or transferred by either you or SimpleCitizen without the prior written approval of the other party. Neither you nor SimpleCitizen is permitted to delegate their responsibilities or obligations under these Terms without the prior written approval of the other party.

This End User License Agreement (“EULA”) is a legal agreement between you and SimpleCitizen, Inc. (“SimpleCitizen”) for the software application provided by SimpleCitizen to use the Services (as defined in the applicable Terms) (“Application”). The terms used but not defined in this EULA will have the meanings set forth in the SimpleCitizen Terms and Conditions of Use under which your account was created (“Terms”). Your use of the Application, and any future release, update, or other addition to the functionality thereof, and the Services is also governed by the Terms and in the event that this EULA conflicts with the Terms, the Terms govern.
PLEASE READ THIS SOFTWARE END-USER LICENSE AGREEMENT CAREFULLY. BY ACCESSING OR USING THE SOFTWARE YOU ACCEPT AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SOFTWARE.
YOU HEREBY AGREE TO THE USE OF ELECTRONIC COMMUNICATION TO ENTER INTO BINDING CONTRACTS. TO THE EXTENT PERMITTED BY APPLICABLE MANDATORY LAW, YOU HEREBY WAIVE ANY RIGHTS OR REQUIREMENTS UNDER THE LAWS OR REGULATIONS OF ANY JURISDICTION WHICH REQUIRES AN ORIGINAL (NON-ELECTRONIC) SIGNATURE OR DELIVERY OR RETENTION OF NON-ELECTRONIC RECORDS.
Subject to the terms of this EULA, SimpleCitizen grants to you a limited, nontransferable, and nonexclusive license (without the right to sublicense) to execute the Application, in executable object code form only, solely (a) on a device that you own or control, and (b) for your use of the Service, in each case for your personal, non-commercial purposes. The Application is licensed to you, not sold, under this EULA. There are no implied licenses in this EULA.
You agree not to, and you will not permit others to, (a) license, sell, rent, lease, transfer, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party, (b) copy or use the Application for any purpose other than as permitted in Section 1, or (c) modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Application.
The Application and all worldwide copyrights, trade secrets, and other intellectual property rights therein, are the exclusive property of SimpleCitizen and its licensors. SimpleCitizen and its licensors reserve all rights in and to the Application not expressly granted to you in this EULA.
This EULA and the license granted hereunder are effective on the date you first download the Application and shall continue unless this EULA is terminated. This EULA will terminate automatically without notice from SimpleCitizen if you fail to comply with any terms of this EULA. You may terminate this EULA effective immediately upon written notice to SimpleCitizen. Upon termination of this EULA, the license granted hereunder will terminate and you must stop all use of the Application, but the terms of Sections 2 and 3 through 10 (inclusive) will remain in effect after any such termination.
TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, SimpleCitizen PROVIDES THE APPLICATION “AS-IS” AND AS TO YOU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT. SimpleCitizen DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM THE USE OF THE APPLICATION. SimpleCitizen MAKES NO WARRANTY THAT THE APPLICATION WILL BE UNINTERRUPTED, FREE OF VIRUSES OR OTHER HARMFUL CODE, TIMELY, SECURE, OR ERROR-FREE
TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, (A) SimpleCitizen WILL NOT BE LIABLE TO YOU FOR ANY LOSS OF USE, LOST DATA, LOST PROFITS OR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES RELATING TO THE APPLICATION OR THIS EULA, EVEN IF SimpleCitizen HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (B) SimpleCitizen’S TOTAL CUMULATIVE LIABILITY IN CONNECTION WITH THE APPLICATION AND THIS EULA, WHETHER IN CONTRACT OR TORT OR OTHERWISE, WILL AT ALL TIMES BE LIMITED TO FIFTY U.S. DOLLARS (U.S. $50). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. SimpleCitizen DISCLAIMS ALL LIABILITY OF ANY KIND OF SimpleCitizen’S SUPPLIERS.
The Application and related technology are subject to U.S. export control laws and may be subject to export or import regulations in other countries. You agree to strictly comply with all such laws and regulations and acknowledge that you have the responsibility to obtain authorization to export, re-export, or import the Application and related technology, as may be required. You will indemnify and hold SimpleCitizen harmless from any and all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including, but not limited to, attorney’s fees) arising from or relating to any breach by you of your obligations under this section.
Neither the rights nor the obligations arising under this EULA are assignable by you, and any such attempted assignment or transfer shall be void and without effect. SimpleCitizen may freely assign this EULA. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this EULA. Any notice to you may be provided by email to the address you have registered with SimpleCitizen. SimpleCitizen will have no responsibility to provide maintenance or support services with respect to the Application. If any provision of this EULA is unenforceable, such provision will be interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. All waivers by SimpleCitizen will be effective only if in writing. Any waiver or failure by SimpleCitizen to enforce any provision of this EULA on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. You acknowledge that the Application contains valuable trade secrets and proprietary information of SimpleCitizen, that any actual or threatened breach of Section 2 of this EULA will constitute immediate, irreparable harm to SimpleCitizen for which monetary damages would be an inadequate remedy, and that injunctive relief is an appropriate remedy for such breach. This EULA and the Terms constitute the final, complete, and exclusive agreement between the parties regarding the Application and supersede all prior or contemporaneous agreements, understandings, and communication, whether written or oral.
We may amend this EULA from time to time. If we make material changes to this EULA, we will notify you by posting the change on the SimpleCitizen Service or sending you an e-mail at your primary email address, as specified in your Account. Any changes to this EULA will be effective immediately for new users of our Application; otherwise these changes will be effective upon the earlier of thirty (30) calendar days following our dispatch of an e-mail notice to you or thirty (30) calendar days following our posting of a notice on the Services. You are responsible at all times for updating your Account to provide to us your most current e-mail address. If the last e-mail address that you have provided to us is not valid, or for any reason is not capable of delivering the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes. Continued use of our Application following notice of such changes shall indicate your acknowledgement of, and EULA to be bound by, such changes. Except as otherwise provided in this EULA, no amendment to this EULA will be valid unless in a writing hand-signed by the parties.

The following additional terms and conditions apply to you if you are using the Application from iTunes. To the extent the other terms and conditions of this EULA are less restrictive than, or otherwise conflict with, the terms and conditions of this Addendum, the more restrictive or conflicting terms and conditions in this Addendum apply, but solely with respect to the Application from iTunes.
SimpleCitizen and you acknowledge that this EULA is concluded between SimpleCitizen and you only, and not with Apple, and SimpleCitizen, not Apple, is solely responsible for the Application and the content thereof. To the extent this EULA provides for usage rules for the Application that are less restrictive than the usage rules set forth for the Application in, or otherwise is in conflict with, the iTunes Terms of Service, the more restrictive or conflicting Apple term applies.
The license granted to you for the Application is limited to a non-transferable license to use the Application on an iOS Product that you own or control and as permitted by the Usage Rules set forth in the iTunes Terms of Service.
SimpleCitizen is solely responsible for providing any maintenance and support services with respect to the Application, as specified in this EULA (if any), or as required under applicable law. SimpleCitizen and you acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application.
SimpleCitizen is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you; and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be SimpleCitizen’s sole responsibility.
SimpleCitizen and you acknowledge that SimpleCitizen, not Apple, is responsible for addressing any claims of you or any third party relating to the Application or your possession and/or use of the Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. This EULA does not limit SimpleCitizen’s liability to you beyond what is permitted by applicable law.
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

You must comply with applicable third party terms of agreement when using the Application.
SimpleCitizen and you acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.
